5. Right of Withdrawal

8. Mediation and Disputes

In the event of a dispute between the parties, they agree to attempt to resolve their disagreement amicably before referring the matter to the competent courts. In this context, the parties agree to use the free "Business Mediator" service of the French Ministry of Economy and Finance. The mediators and the mediator will agree to do their utmost to ensure that the mediation process is completed no later than 3 months from the date of eligibility of the request, a period that may be extended if necessary with the agreement of the mediators. The parties agree to cooperate in good faith with the mediation process and to comply with the mediator's recommendations, which will be recorded in a mediation report. In the event of mediation failure, the parties may refer the matter to the competent courts to definitively resolve the dispute. The mediation process will have no impact on the applicable limitation periods for the dispute. Any mediation costs will be shared equally by the parties, unless otherwise agreed.

9. Governing Law and Jurisdiction

This contract is governed by French law. Any dispute relating to the interpretation, execution, or termination of this contract will be under the exclusive jurisdiction of the Commercial Court of Marseille.
